Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and JNMGVentures LLC (“we,” “us,” or “our”), governing your access to and use of the Mindbloom application and related services (collectively, the “Service”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of the Service

Mindbloom is an AI-powered research canvas that allows users to explore topics through a branching, visual knowledge graph. You submit questions or prompts, and the Service generates AI-powered responses along with suggested follow-up paths. Your exploration is rendered on an interactive canvas that you can revisit and build upon over time.

3. Eligibility

You must be at least 13 years of age to use the Service. If you are under 18, you must have the consent of a parent or legal guardian. By using the Service, you represent and warrant that you meet these requirements.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, complete information when creating your account and to update it as necessary. You must notify us immediately if you suspect unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

5. Subscription Plans and Payments

Mindbloom offers both free and paid tiers of access. A free demo is available to all registered users with limited usage. Paid subscription plans, including their features and pricing, are described on the billing page.

Paid subscriptions are billed on a recurring monthly basis through our payment processor. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel. Cancellation takes effect at the end of the current billing period—you retain access until then. We do not offer refunds for partial billing periods unless required by law.

We reserve the right to change plan pricing or features at any time. If a price change affects your current subscription, we will notify you before it takes effect. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

6. Bring Your Own Key (BYOK)

Certain subscription plans allow you to provide your own third-party API key to power AI features. When you use a BYOK plan:

  • You are solely responsible for the costs, usage limits, and compliance obligations associated with your third-party API key, including compliance with the third-party provider’s own terms of service and acceptable use policies.
  • Your API key is stored in encrypted form. We use it only to make requests on your behalf while you use the Service and do not share it with any other party.
  • We are not liable for any charges incurred on your third-party account, or for any suspension, revocation, or restriction of your third-party API key, as a result of your use of the Service.
  • You represent and warrant that you have the right to use the third-party API key you provide and that your use of it through the Service does not violate any agreement with the third-party provider.

7. AI-Generated Content

Responses generated by the Service are produced by third-party AI models and are provided for informational and exploratory purposes only. AI-generated content may be inaccurate, incomplete, misleading, or outdated. You should not rely on AI-generated content as professional, legal, medical, financial, or other expert advice.

We make no representations or warranties regarding the accuracy, reliability, or completeness of any AI-generated content. You assume all risk associated with your use of or reliance on AI-generated content. We shall not be liable for any damages, losses, or harm arising from your reliance on AI-generated content provided through the Service.

8. Your Content

You retain ownership of the questions, prompts, and other content you submit to the Service (“User Content”). By using the Service, you grant us a limited, non-exclusive license to store, process, and display your User Content solely for the purpose of operating and providing the Service to you.

You are solely responsible for your User Content. You agree not to submit content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable. We reserve the right to remove or disable access to any User Content at our sole discretion, without prior notice, for any reason, including content that we believe violates these Terms or may create liability for us.

While we take reasonable measures to protect your data, we are not liable for any loss, corruption, or deletion of User Content. You are responsible for maintaining your own backups of any content you consider important.

9. Prohibited Uses

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to any part of the Service, other users’ accounts, or any systems or networks connected to the Service.
  • Interfere with or disrupt the integrity or performance of the Service, including by circumventing rate limits or other protective measures.
  • Use the Service to generate content that is harmful, deceptive, or violates the usage policies of any underlying AI provider.
  • Use automated scripts, bots, or other programmatic means to access the Service without our prior written consent.
  • Resell, sublicense, or otherwise commercially redistribute access to the Service without our prior written consent.
  • Reverse engineer, decompile, or disassemble any part of the Service.

10. Service Availability

We do not guarantee that the Service will be available at all times or without interruption. The Service may be subject to scheduled or unscheduled downtime, maintenance, or outages. We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice, and without liability to you. We are not obligated to provide any specific level of uptime or availability.

11. Third-Party Services

The Service integrates with third-party providers for AI processing, payment processing, authentication, email delivery, and hosting. Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party provider, and we disclaim all liability arising from your use of or reliance on third-party services.

12. Intellectual Property

The Service, including its design, code, visual elements, and branding, is the property of JNMGVentures LLC and is protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. If we terminate your account for violation of these Terms, you are not entitled to any refund of prepaid fees. You may delete your account at any time. Upon termination, your right to use the Service ceases immediately and we may delete your data. Provisions of these Terms that by their nature should survive termination (including, without limitation, sections on intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law) will survive.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY INFORMATION OR CONTENT PROVIDED THROUGH THE SERVICE, INCLUDING AI-GENERATED CONTENT. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JNMGVENTURES LLC AND ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, ANY AI-GENERATED CONTENT, ANY THIRD-PARTY SERVICES, OR ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

16. Indemnification

You agree to indemnify, defend, and hold harmless JNMGVentures LLC and its officers, directors, members, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and costs) arising out of or in connection with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your violation of any rights of a third party.

17. Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and JNMGVentures LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, rather than in court, except that either party may bring claims in small claims court if they qualify.

Class action waiver: You and JNMGVentures LLC each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you and JNMGVentures LLC each waive the right to a jury trial.

You agree that any arbitration or court proceeding must be commenced within one (1) year after the claim arose. Failure to bring a claim within this period constitutes a waiver of that claim.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. To the extent that litigation is permitted under these Terms, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

19. General Provisions

Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and JNMGVentures LLC regarding the Service and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

20. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on the Service and updating the effective date above. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service.
